Diligent Entities: features, pricing, and how it compares for multi-entity teams
Diligent Entities is the entity-records module of the Diligent One Platform, and it is positioned for enterprise multi-entity teams on the strength of its org charts, audit trail, and jurisdiction-based compliance calendar. The question that matters for a US-heavy portfolio of 50 to 250+ entities is different: once the calendar flags a Delaware franchise tax deadline or a Texas annual report requirement, who files it?
As of October 2026, Diligent's own documentation answers that question narrowly. Review the vendor's current documentation to confirm supported e-filing jurisdictions and whether registered-agent services are offered.
What Diligent Entities does
Diligent Entities is a system of record for entity data, documents, and governance appointments.
Entity data, org charts, and officer tracking
Diligent's help documentation and product brochure (© 2021) list these core capabilities:
Secure data and document storage, with advanced search and reporting
A database of company details, status, relationships, officers and directors, board and committee appointments, and powers of attorney
Share certificates and structure charts: the product can "automatically create share certificates, build structure charts and reports."
Mass director updates, with directors updated or resigned "at mass" across subsidiaries, per a Diligent tips blog
Charting comes in tiers: "Charting is included with every instance of Diligent Entities, but the Designer Edition allows for greater formatting and export options and custom views for different users."
For fund structures, the help index (published December 12, 2025) covers corporate partnerships, trusts, and an "Ownership" section, but no retrieved page documents GP chain visualization or fund, LP, or portfolio-company templates. A Diligent blog dated August 13, 2026 announced an Ownership Map without a release date, so if you need GP chain views, ask to see them in a demo.
Compliance calendar, audit trail, and e-filing
The entity compliance page says rules apply "automatically based on jurisdiction and relevant dates," and that global statutory forms are "Currently available for 12 jurisdictions: Australia, Canada, France, Gibraltar, Hong Kong, Ireland, Jersey, Malta, Netherlands, South Africa, United Kingdom and United States (Delaware)." The audit trail keeps "a record of all access, additions, changes and deletions" with time, date, and user, and the product integrates with DocuSign for signing. E-filing targets, per Diligent's features blog, are Companies House (UK), the Companies Registration Office (Ireland), ASIC (Australia), and the ICIS XML Filing Service (Delaware), with the note that "some features are exclusive to specific packages."
AI assistant, APIs, and bulk tools
Diligent added a Microsoft Teams app on January 29, 2026, and an Inbound API in an April 20, 2026 update. If you are migrating a large portfolio, you can bulk import entities through an Excel template and Bulk Importer sessions.
Diligent Entities pricing: quote-based, with no published figures
Diligent does not publish a price for Entities; the product page offers "Request a demo" and "Request pricing," and the pricing page promises "tiered pricing, designed to accommodate companies at any stage of growth" without listing a tier or a number.
Vendr describes pricing as "modular and based on the products licensed, board size, entity count, and contract term," with multi-year deals and bundling with Diligent Boards typically producing discounted per-entity pricing. No source prices the 50 to 250 entity band your portfolio likely sits in.
Where Diligent Entities stops: US state filings and registered agent
Delaware is the only US state with documented e-filing in Diligent Entities (the help index also lists a federal BOIR e-filing topic), and its documentation does not describe a registered agent service of its own.
The Delaware franchise tax workflow
Diligent's Franchise Tax Payment help page describes a payment request that "deducts an amount from the Agent's Depository account" for the entity being e-filed. The request is generated automatically when a Tax Data Request is received for active alternative entities. Payment handling should be verified in the relevant workflow documentation. The page does not say Diligent calculates the tax, does not mention LPs, and does not explain whose depository account funds the payment.
Delaware sets the stakes for fund vehicles:
A $400 annual tax for LLCs, LPs, and GPs, generally due June 1 and subject to annual change (confirm the date and amount against current Division of Corporations instructions each year), per the Division of Corporations' alternative entity instructions. The Division's FAQ page still shows $300.
Late LLC payments draw a $200 penalty plus 1.5 percent monthly interest, and the certificate of formation is canceled after three years unpaid, under § 18-1107.
LPs follow the same structure under § 17-1109.
LLCs, LPs, and GPs file no annual report in Delaware; the annual tax is the recurring obligation.
For a fund with dozens of Delaware vehicles, a missed June 1 payment compounds across each affected entity.
Other US states and the agent question
Based on Diligent's listed e-filing coverage, filings in California annual report requirements, Texas foreign registration requirements, New York franchise tax guidance, and the remaining states would fall to your team or a separate vendor; the documentation does not document deadline tracking for those states' annual reports or franchise taxes.
A missed Texas franchise tax report draws a $50 penalty per late report regardless of tax owed, per the Texas Comptroller.
Under § 18-104, every domestic LLC must maintain a registered office and agent in Delaware. Division of Corporations guidance sends tax notices to that agent.
Diligent's documented link to agent service is a December 4, 2018 partnership announcement under which Blueprint OneWorld, now Diligent Entities, joined CSC through a technology integration.
Diligent also offers Managed Services, which pairs Entities with corporate secretarial support across 100+ jurisdictions, per an August 13, 2026 blog; none of the retrieved documentation says whether that covers US state annual reports or registered agent duties.
How Diligent Entities compares for multi-entity teams
Diligent Entities is records software that tracks deadlines; in most US states it neither files nor acts as registered agent, so your team owns the handoff.
Requirement at 50 to 250+ entities | Diligent Entities, per its documentation |
|---|---|
Org charts and ownership visualization | Included; Designer Edition for formatting and export; Ownership Map announced August 2026, no release date |
Jurisdiction compliance calendar | Rules applied automatically; statutory forms for 12 jurisdictions |
US e-filing | Delaware only among states (plus a federal BOIR help topic) |
Registered agent | Not described; CSC integration announced 2018 |
Multi-state US annual report and franchise tax tracking | Not documented |
GP/LP chain visualization | Not documented |
Segregated payments, invoice consolidation, per-entity bank accounts | Not documented; the only payment source named is "the Agent's Depository account" |

Security (Diligent One platform) | ISO/IEC 27001 and SOC 2 Type II at platform level; report under NDA, per trust page |
What reviewers report
Reviewers on TrustRadius and G2 rate it well, though the review base is small. One reviewer calls it "quite expensive" and "geared towards larger, structured organisations, particularly those with international companies"; another writes that "At times, the data is slow to update." None of the reviews describe performance at 250+ entities.
Where software-plus-execution platforms differ
The Kurums comparison frames the split this way: large multinationals choose Diligent for depth and board-governance integration, while organizations that want foreign registration and agent services favor providers that pair software with registered agent and filing execution. CSC and CT, the providers Kurums names, offer annual report filing and registered agent services alongside their software. For a portfolio whose entities are mostly US LLCs and LPs, the second category removes the handoff between the calendar and the filing.
A decision framework for PE and fund teams
Choose Diligent when governance records, board integration, and org-chart depth are the priority; choose a software-plus-execution platform when your team needs the provider to complete filings after the calendar fires. A Gartner abstract by analyst Alissa Lugo (March 18, 2026) warns that ad hoc entity management "can result in inefficiencies, inaccuracies, missed filings, and increased costs," per the Gartner summary.
Questions to ask Diligent
Put these to your Diligent rep before the demo:
Whose depository account funds the Delaware franchise tax payment, and are LP entities included in the workflow?
Which features are package-exclusive? Request the list in writing, including Designer Edition charting.
Can you see GP chain and LP ownership examples? The documentation does not show them.
Does Managed Services file US state annual reports, and does it include registered agent coverage?
Cost the full stack
Count your multi-state business registration obligations outside Delaware, since Diligent's documentation shows no filing for them, then price the license, implementation, training, a registered agent contract, and the internal hours spent filing in those states.
This article is general information, not legal, tax, or financial advice; confirm current state requirements with the relevant Secretary of State or a qualified advisor.
Automate multi-state filings with Discern
Managing separate calendars, registered agent coverage, annual reports, and Delaware tax obligations creates a filing handoff that Diligent's documented US coverage does not eliminate. Discern operates at that Secretary of State layer with registered agent coverage across 51 jurisdictions, free change of agent filings, Delaware franchise tax calculation and filing for LLCs and LPs, and an onboarding audit that checks every entity's standing before it comes under management. Annual report filing requirements vary by jurisdiction and should be confirmed with the relevant filing authority. Pricing is published at $350 per state registration per year.
For a multi-entity portfolio, customers with 200+ registrations spend 5 to 10 minutes annually on compliance, and the system routes payments by entity with segregated payment support for portfolios of 1000+ entities. White Wolf's private equity story shows the shift: the firm saved 100 hours per year on filings and reduced transaction risk.
Book a demo with Discern to see how quickly your multi-state filings move from a tracked deadline to a completed submission.
