The $125 filing fee may be waived for small businesses started by veterans and reservists who provide proof of their veteran or reservist status during filing.

4. Operating Agreement requirements

Pennsylvania doesn't mandate Operating Agreements, but state default rules rarely fit specific business needs, creating uncertainty about your LLC's governance and protection. Here’s why you need one:

Ongoing requirements:

  • Annual reports due September 30 starting in 2025 ($7 fee). This replaces Pennsylvania's previous decennial (10-year) reporting requirement. The first annual report is due the year following your LLC's formation

  • File appropriate tax returns based on federal classification

Consequences of non-compliance

Beginning with annual reports due in 2027, failure to file an annual report within six months of the due date will subject LLCs to administrative dissolution. Pennsylvania is providing a transition period through 2026 without penalties as businesses adjust to this new requirement. Once administrative dissolution occurs, the business name becomes available for use by other entities.

Reinstatement requires filing an Application for Reinstatement ($35) plus all missed reports with $15 late fees each. Persistent non-compliance can weaken liability protection in court challenges.
