Step-by-step LLC formation process
All $425 in state fees fall in steps 3 and 4.
Step 1: Choose your LLC name
Under NRS 86.171(1), the name must contain "Limited-Liability Company," "Limited Company," or "Limited," or an abbreviation such as "LLC," "L.L.C.," "LC," "L.C.," or "Ltd." It must also be distinguishable from every existing entity and reserved name on the SOS's records, so search the SOS entity database before you file.
Words such as "bank," "trust," and "insurance" need regulator approval first; check the SOS restricted word list. You can reserve a name for 90 days under NRS 86.176 by paying the $25 reservation fee. Skip the reservation if you're ready to file immediately.
Step 2: Appoint a registered agent
NRS 86.231 requires every LLC to meet Nevada registered agent rules with a physical street address in the state where the agent is available for service of process, so a P.O. box does not qualify.

Step 3: File Articles of Organization
Nevada calls this document the Articles of Organization (not a certificate); under NRS 86.151, one or more persons may form an LLC by signing and filing the articles with the Secretary of State, and the registered-agent appointment must be accompanied by the agent's certificate of acceptance under NRS 77.310.

Step 6: Obtain required licenses and permits

Nevada LLC ongoing compliance requirements
Nevada LLCs must file a Nevada Annual List of Managers/Members ($150 under NRS 86.263(4)(b)) and renew the State Business License ($200 under NRS 76.130) each year, for $350 a year. Both are due by the last day of the LLC's anniversary month under NRS 86.263(2). Under NRS 76.130(3) the SOS provides a renewal notice 90 days before the last day for filing, and not receiving it does not excuse a late filing.
NRS 86.272(3) adds a $75 penalty to a late Annual List fee. NRS 76.130(4)(a)(1) adds $100 to a late license fee and treats the late payment as a failure to file the list. An LLC that neglects the list is in default under NRS 86.272(1); under NRS 86.274(2), continued default ends in charter revocation on the first day of the first anniversary of the month following the month the filing was due. Reinstatement, under NRS 86.276, requires paying the missed list fees, the accumulated penalties, and a $300 reinstatement fee.
