Idaho LLC formation requirements

The name must be "distinguishable upon the record" from all existing business entities registered in Idaho. Minor variations like adding "the," using "&" instead of "and," or changing singular to plural forms don't make names sufficiently distinct. The Idaho Secretary of State considers names deceptively similar if they might confuse the public about business association or ownership.

Idaho prohibits words that falsely imply government association or suggest unauthorized professional services. Terms like "Bank," "Trust Company," "University," or "Attorney" require special documentation or regulatory approval. Names implying illegal activities or misleading business purposes face automatic rejection.

You can reserve an available name for 4 months by filing a Name Reservation form with the Secretary of State for $20. This protection ensures your chosen name stays available while you prepare formation documents, though you'll need a new reservation if additional time is required after the 4-month period expires.

2. Registered agent requirements

Idaho law mandates that every LLC maintain a registered agent under Idaho Code provisions governing business entity operations. This requirement takes effect immediately upon formation and continues throughout the company's existence.

Qualification criteria:

  • Idaho resident (18+) with a physical street address, or an authorized business entity
  • Physical Idaho street address (no P.O. boxes permitted)
  • Available during regular business hours to accept legal documents
