The CT Corporation address printed on your certificate of formation may not match the address the Secretary of State has on file today, and the SOS record is the current one for service purposes. Commercial registered agents relocate.
When they do, Delaware's and Texas's agent-change procedures let the agent update every represented entity in a single filing, and under Delaware's registered agent statutes (including 6 Del. C. § 18-104(b) for LLCs), no entity has to amend its own formation documents as a result, so your internal entity register and the formation documents in your data room keep showing the old street.
Before using any numbered government form identified in this article, confirm through the relevant SOS that the form remains current and has not been consolidated, renamed, or superseded.
For a PE firm with 100+ portfolio entities or a fund manager running dozens of Delaware LPs and LLCs, that drift creates two problems. Say diligence counsel pulls a New York certificate showing 1633 Broadway when CT Corporation has been at 28 Liberty St. for years, and someone has to explain the mismatch.
Worse, a lawsuit served correctly on the agent can still end in a default judgment if the forwarding instructions your entity gave the agent are stale. A Delaware court refused to vacate a $753,959.44 judgment on exactly those facts in 2022.
Where CT Corporation is listed in official records, by state
The addresses below come from SOS agent lists, SOS entity records, and SEC-filed formation documents as of September 2026, and the live SOS record for your specific entity is the only version to rely on for a filing. CT Corporation appears under different names across states, which matters when you search a portal by agent name.

California entity search | C T CORPORATION SYSTEM (Registered Corporate Agent 1505) | 330 N Brand Blvd, Suite 700, Glendale, CA 91203 |
Texas agent record | C T CORPORATION SYSTEM | 1999 Bryan St., Suite 900, Dallas, TX 75201-3136 |
Florida entity record | C T CORPORATION SYSTEM | 1200 South Pine Island Road, Plantation, FL 33324 |
Illinois filing record | CT Corporation System / C T Corporation | 208 South LaSalle Street, Suite 814, Chicago, IL 60604 |

California shows the agent's name but not its address
California registers CT Corporation as a corporate agent under Corporations Code § 1505, and under § 1502(b), no address is entered for a § 1505 corporate agent on the entity's own filing. On the LLC California Statement of Information (Form LLC-12), Item 6c takes only a registered corporate agent's name; the street address field (Item 6b) applies to individual agents.
Form SI-550 for corporations has an identical structure; Form LP-1 requires the agent's street address only when the agent is not a § 1505 corporation. California filings for entities using a § 1505 corporate agent do not carry the agent's street address. The operative address sits in the § 1505 agent registration on file with the SOS, which is the record to check.
Which filings carry the registered agent address
In the Delaware incorporation form, Texas formation form, and Florida LP instructions, as well as in Illinois, the agent's street address appears on the formation document and on periodic reports, while Delaware alternative entities and New York break that pattern. Knowing which document holds the field tells you where a stale address can hide.
Delaware, Texas, Florida, and Illinois record the street address on filings
Each of these states puts the address on a document you can pull. Before relying on any government filing fee, tax, report charge, or search fee stated below, confirm it against the current official state fee schedule or portal.
Delaware corporations: the certificate of incorporation must include the registered office street, number, city, county, and postal code under 8 Del. C. § 131(c), and the annual franchise tax report repeats the agent name and address. Delaware LLCs and LPs pay a flat annual tax that rose to $400 (from $300) under House Bill 400, effective for the 2026 tax year; because Delaware bills this tax in arrears, the first $400 payment is due June 1, 2027, with June 1 continuing as the recurring due date in later years. LLCs and LPs file no annual report, so the public ICIS entity page, not a periodic report, is where their current agent data lives. Confirm the amount against the official instructions for the applicable tax year.
Texas: Form 205 for LLCs and Form 201 for corporations, available on the Texas SOS forms page, require the agent name plus a street address, city, state, and zip, with no P.O. Box.
Florida: articles of organization, articles of incorporation, and every Florida Sunbiz annual report list the agent name and a Florida street address, and a new agent signs to accept.
Illinois: Illinois annual report filings list the agent name and Illinois address, but an agent change cannot be made through the annual report; a separate form (LLC-1.36/1.37 or BCA 5.10/5.20, $25 each) filed with the Illinois Secretary of State is required.
Certificates of good standing and certificates of status in the Delaware fee schedule, California records request, Texas status form, New York status certificate, and Florida corporate fees generally do not disclose the registered agent's name or address, so a clean certificate in the data room says nothing about whether the agent record is current.
New York records a forwarding address, not an agent's office
New York designates the Secretary of State agent for service of process for every LLC (LLC Law § 301) and corporation (BCL § 304). Articles of organization supply the county of the LLC's office and a mailing address to which the SOS forwards process.
The biennial statement updates that process-forwarding address every two years and, optionally, a privately designated agent under LLC Law § 302 or BCL § 305. For a New York entity that uses CT Corporation, the field to verify is the forwarding address on file with the Department of State, because that is where the SOS mails what it receives.
How CT Corporation's address changes reach your entities
Delaware and Texas update every represented entity through one agent-filed certificate, while California and New York require entity-by-entity filings. That split is why one portfolio can show a current address in Wilmington and a stale one in Sacramento after the same relocation.
Delaware and Texas: one filing covers every entity
Under 8 Del. C. § 134, a registered agent files a single certificate covering all represented corporations, after which "the registered office in this State of each of the corporations for which the agent is a registered agent shall be located at the new address of the registered agent thereof as given in the certificate." Section 132(h) separately provides that references to a corporation's "resident agent" mean its registered agent, and that no corporation needs to amend its certificate of incorporation or any other document to comply with that section.
For LLCs, 6 Del. C. § 18-104(b) deems the agent's certificate "an amendment of the certificate of formation of each limited liability company affected thereby" and requires the agent to "promptly ... deliver a copy of any such certificate to each limited liability company affected thereby." § 17-104 extends the same bulk-filing and notice mechanics to limited partnerships. Texas uses Form 408 ("Change by Registered Agent to Name or Address"), one filing covering entities governed by the Business Organizations Code (corporations, LLCs, LPs, LLPs, and professional entities); the agent must give each entity written notice at least 10 days before filing, and the certificate must state that notice was given, per Texas Business Organizations Code § 5.203.
California and New York: each entity files its own change
California has no bulk mechanism; the California SOS requires each entity to file its own updated Statement of Information or amendment.
New York processes agent address changes through certificates of change under BCL § 805-A: a standard certificate of change costs $30 under § 805-A(a), while a narrower change limited to the registered agent's address costs $5 under § 805-A(b). LLCs use the parallel provision, LLC Law § 211-A, with the same fee structure. In these two states an agent relocation produces a filing for every entity in the portfolio.
How to verify the live record on each SOS portal
The SOS entity record is the authoritative current address, and among the portals detailed below, Texas charges for the search at $1.00. Work entity by entity, then use agent-name search where a portal offers it.
Run the free entity lookup
Each portal returns the agent field from a name or file number search:
Delaware: the ICIS entity search returns free registered agent details, including the registered agent name, address, phone number, and residency.
California: bizfile Online shows the agent for service of process free; for CT Corporation entities, confirm the address through the § 1505 registration.
Texas: SOSDirect charges a $1.00 statutory fee per search.
New York: the Department of State database returns the entity record with process-forwarding information; check the mailing address, which is the field a stale biennial statement leaves wrong.
Record the portal result next to the address in your internal register and date the check, because a bulk agent filing can move the address even when your internal register is not updated.
Sweep the state by agent name
Florida's Sunbiz search supports lookup by Registered Agent Name and displays a labeled "Registered Agent Name & Address" field on each entity record. Nevada's business entity search also searches by registered agent name and shows the agent's name and address with no login. Searching "C T CORPORATION SYSTEM" in either state can surface entities listing that agent, including ones your internal register never captured.
What a stale registered agent address costs
Courts have treated wrong forwarding addresses as the entity's own failure and let the default judgment stand, as the case below shows.
A default judgment the court refused to vacate
In JumpCrew, LLC v. BizConnect, Inc. (Del. Super. Ct., No. N21C-08-143 WCC, July 5, 2022), the court entered the $753,959.44 default judgment noted above and denied the motion to vacate, finding that BizConnect's failure to update CT Corporation with its receiving agent's current address was not the conduct of a reasonably prudent party. The agent's address was fine; the entity's forwarding instructions were not.
Keep every registered agent address current with Discern
Reconciling CT Corporation's address across eight states, three filing models, and a portfolio of entities is work most teams do once during diligence and then let drift. Discern provides registered agent service across all 51 jurisdictions, with change of agent filings at no charge, active standing and status monitoring, multi-state franchise tax alerting, and automated payments, so the address of record is one your team controls from a single dashboard instead of one you re-check on eight separate SOS portals.
For a fund manager or PE firm running a multi-state entity portfolio, that consolidation compounds as the portfolio grows: customers with 200+ registrations spend just 5 to 10 minutes annually on compliance, and Discern's onboarding audit identifies and remediates historical compliance issues, including agent records that never caught up with a relocation, before they turn into someone else's default judgment.

Frequently asked questions about CT Corporation addresses
These answers summarize how to find and maintain the registered agent information discussed above.
Why does my formation document show an old CT Corporation address?
A commercial registered agent can relocate after your entity forms. In Delaware and Texas, the agent can update represented entities through a single filing, so your original formation document may continue to display the former address even though the live SOS record has changed.
Which CT Corporation address should I use for a filing?
Use the address shown in the live SOS record for your specific entity. Formation documents, certificates stored in a data room, and internal registers may contain an older address.
Does a certificate of good standing show the registered agent address?
Generally, no. The certificates of good standing and certificates of status discussed above typically do not disclose the registered agent's name or address in the states covered here. Check the applicable SOS entity record instead.
Why does a California filing list CT Corporation without an address?
California filings for entities using a § 1505 corporate agent generally list the corporate agent's name without its street address. The operative address appears in the agent's § 1505 registration with the California SOS.
Can a correct registered agent address still lead to missed legal process?
Yes. The agent may receive service correctly but forward it using stale instructions supplied by the entity. Keeping the entity's forwarding information current is separate from verifying the agent's public address.
